Profits can be paid to foreign shareholders as dividends without Singapore withholding tax, while interest and royalties paid abroad attract withholding. Before opening an account, banks must carry out customer due diligence under MAS Notice 626: they identify and verify the company, the people acting for it and its beneficial owners, and must decline the relationship if those checks cannot be completed. Whether Singapore imposes any exchange controls was not confirmed on an official page.
Repatriating profits
Dividends from a Singapore-resident company are not subject to withholding tax, which makes dividends the simplest way to return profits. Interest and royalties paid to overseas group companies carry 15% and 10% withholding before treaty relief and must be filed by the 15th of the second month after payment.123
What banks must check at onboarding
MAS Notice 626, last amended with effect from 1 July 2025, requires a bank to perform customer due diligence when it establishes business relations. For a company this means identifying it and verifying its identity from reliable, independent sources, understanding its legal form, constitution and powers, identifying each person who acts for it and its connected parties, identifying its beneficial owners and taking reasonable measures to verify them, and obtaining the purpose and intended nature of the relationship.
A bank that cannot complete these measures must not open or continue the relationship, and a relationship with a politically exposed person needs the bank's senior management approval. In practice, delays usually come from unclear ownership chains, trusts or nominee arrangements, or incomplete explanations of expected activity.456
Keeping ACRA records current
Banks typically check a company's ACRA profile, officers and controllers when opening accounts. Officer changes must be filed with ACRA within 14 days, and registrable controller changes within two business days of updating the company's own register, so keeping filings current avoids onboarding delays.78
How it works, step by step
- Identify the company and verify its identity, legal form, constitution and powers4The bank, under MAS Notice 626
- Identify the directors, connected parties and each person authorised to act for the company4The bank, under MAS Notice 626
- Identify beneficial owners and take reasonable measures to verify them, cross-checking ACRA records48The bank, under MAS Notice 626; ACRA filings
- Record the purpose and intended nature of the relationship and apply enhanced checks, with senior management approval, for politically exposed persons46The bank, under MAS Notice 626

Documents usually needed
- ACRA business profile and constitution
- Register of registrable controllers and ownership chart up to the ultimate beneficial owners
- Identity documents for directors, authorised signatories and beneficial owners
- Board resolution authorising account opening and signatories
- Explanation of the purpose of the account and expected transaction flows
Common mistakes
- Opening an account before registrable controller information has been filed with ACRA.
- Providing an ownership chart that stops short of the individuals who ultimately own or control the company.
- Paying interest or royalties abroad without accounting for withholding tax.
- Assuming treaty rates apply automatically without residence evidence.
When the business crosses borders
- Home-country tax on dividends received from Singapore depends on the parent's jurisdiction.
- Treaty relief on interest and royalties requires documentation from the recipient.
- Foreign parent companies, trusts and holding structures must be explained to the individual owners, because banks must identify and take reasonable measures to verify beneficial owners.
Questions businesses ask
Is there withholding tax when a subsidiary pays dividends to its foreign parent?
No. Singapore does not levy withholding tax on dividends.1
