Where a subsidiary has surplus cash but no distributable profits, returning share capital or buying back shares can be the only lawful route. Every market protects creditors, but the method differs: a directors' solvency statement in the UK and Singapore, a tribunal process in India, and a one-year creditor waiting period in Germany. Listed US companies also pay a 1% excise tax on buybacks.
Solvency statement routes: UK and Singapore
A UK private company can reduce capital by special resolution supported by a solvency statement from every director, without going to court. The statement looks forward twelve months and must take account of contingent liabilities; making it without reasonable grounds is a criminal offence. Buybacks must normally be funded from distributable profits or a fresh issue, with limited exceptions for private companies.
Singapore uses a similar model. After the special resolution and solvency statement, creditors have six weeks to object, and the reduction is lodged with ACRA between six and eight weeks after the resolution. A court-approved route is also available.12345
Court and creditor-led routes: India and Germany
In India a capital reduction needs a special resolution and confirmation by the National Company Law Tribunal, which notifies the Central Government, the Registrar and creditors and allows three months for representations. Buy-backs up to 10% of paid-up capital and free reserves can be approved by the board and up to 25% by special resolution.
A German GmbH must publish its reduction resolution with a call to creditors, pay or secure those who object, and wait a full year before filing for registration. The EUR 25,000 minimum capital continues to apply, so a reduction cannot take capital below it. In the UAE, a mainland LLC's capital decrease needs approval from partners holding three-quarters of the shares represented.678910
Tax cost of buybacks
A US domestic corporation whose stock is publicly traded pays a 1% federal excise tax on the value of stock repurchased in the year, net of stock issued, unless repurchases are USD 1 million or less. Tax treatment of capital returns in other markets depends on how local law characterises the payment and should be confirmed before choosing this route.11

Decisions to make
- Can the directors honestly sign a solvency statement covering the next twelve months?2In the UK the statement carries personal criminal liability if made without reasonable grounds.
- Can the group wait a year for a German capital reduction?812The registration bar means cash may be tied up; repaying a shareholder loan is often faster.
- Is the Indian buy-back within the board or shareholder approval limits?76Above 25%, the route becomes a tribunal-confirmed capital reduction.
- Is the company a listed US corporation?11Buybacks above USD 1 million attract the 1% excise tax.
Documents usually needed
- Special resolution and, where used, directors' solvency statement
- Statement of capital or registry filing for the reduced capital
- Creditor notices and publication evidence
- Tribunal or court application and order where required
- Buy-back contract and board approvals
Common mistakes
- Treating a capital reduction as quick in Germany when the creditor year applies
- Signing a UK solvency statement without considering contingent liabilities such as guarantees
- Missing the Singapore filing window after the special resolution
- Funding a buyback from capital without following the private company procedure
- Ignoring local tax characterisation of the amount returned

The German capital maintenance rule does not apply to payments made under a domination or profit transfer agreement, to payments covered by a fully recoverable counter-performance or repayment claim against the shareholder, or to the repayment of a shareholder loan. Section 30(1) sentences 2 and 3 GmbHG. The fully recoverable claim exception is the basis on which upstream loans and cash pool sweeps from a GmbH are assessed.
