Representative work and client context.

REPRESENTATIVE MATTERS
For a special-purpose vehicle of one of the banks we developed B2B and B2C platforms. For a client producing construction equipment we advised on projects related to launching production in China – several million euros in total. The support covered transaction structuring, negotiations with Chinese partners, intellectual-property issues and legal oversight over the launch of the production line. Arbitration before the Arbitration Court at the Lewiatan Confederation concerning settlements in connection with hospital construction – a matter covering complex issues at the intersection of construction law, FIDIC and public procurement. Representation of banks in a dozen arbitration cases before the Arbitration Court at the Polish Bank Association, in disputes concerning financial instruments – currency options, swaps and other derivatives. Introduction to the Polish market of a German manufacturer of premium lingerie – legal advice covering business registration, trademark protection, distribution agreements and preparing documentation for an online store. We helped negotiate an agreement regarding undelivered coconut milk supplies from Sri Lanka, mitigating the risk of litigation and securing performance of the contract in subsequent tranches. For one of the banks we negotiated an agreement with the beneficiary and the principal concerning a bank guarantee in connection with an investment outside the EU – a matter worth several million euros. We advised on choice of law, jurisdiction, international aspects of settlement and on mechanisms securing the bank’s claims. We helped Ukrainian companies resolve problems with rare-earth metal deliveries delayed due to the war – matters with a combined value of several million euros. We analysed force majeure clauses, negotiated with counterparties and prepared litigation strategies in case settlement could not be reached.
